1. Agreement to Terms

By accessing or using AIpickedup ("the Service"), operated by the business entity identified in these Terms ("we", "us", or "our"), you agree to be bound by these Terms & Conditions. If you do not agree to all terms, you may not access or use the Service.

2. Description of Service

AIpickedup provides AI-powered phone agent services ("the Service") that answer incoming calls, qualify leads, handle customer inquiries, and book appointments on behalf of businesses. Specific features, call minutes, and support levels are determined by your selected subscription plan.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to active subscribers.

3. Account Registration

To use the Service, you must register an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement.

4. Subscription & Payment

The Service is offered on a subscription basis. Pricing, features, and call minute allocations for each plan are published on our Pricing page. Fees are billed in advance on a monthly or annual basis as selected during registration.

All fees are in Singapore Dollars (SGD) unless otherwise stated. You are responsible for any applicable taxes. Failure to pay may result in suspension or termination of the Service.

5. Acceptable Use

You agree not to use the Service:

• For any unlawful purpose or in violation of any applicable laws or regulations, including Singapore's PDPA and spam control laws.
• To transmit harassing, abusive, fraudulent, or deceptive content through the AI agent.
• To impersonate any person or entity without authorization.
• To interfere with or disrupt the Service, its servers, or networks.
• To reverse-engineer, decompile, or extract the AI model or underlying technology.

6. Intellectual Property

The Service, including its AI models, software, website design, branding, and all related content, is owned by us and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

You retain ownership of your business data, call recordings, and customer information provided through the Service. By using the Service, you grant us a limited license to process this data solely for the purpose of providing the Service to you.

7. AI-Powered Service Disclaimer

The Service uses artificial intelligence to handle calls autonomously. While we strive for high accuracy, AI-generated responses may occasionally be incomplete, inaccurate, or inappropriate in context. You acknowledge that:

• The AI agent is a tool to assist your business operations, not a replacement for human judgment.
• You are responsible for reviewing AI call summaries and transcripts for your business-critical decisions.
• We do not guarantee that the AI will handle every scenario perfectly or capture every nuance of a conversation.

8. Limitation of Liability

To the maximum extent permitted by Singapore law, AIpickedup and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

• Lost profits, revenue, or business opportunities.
• Missed calls or leads due to service interruption or AI errors.
• Data loss or unauthorized access to your account.

Our total liability for any claim arising from these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless AIpickedup and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights or applicable laws.

10. Termination

Either party may terminate the Service at any time. You may cancel your subscription through your account settings. We may terminate or suspend your account for violation of these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. We will retain your call data for 30 days post-termination to allow data export. After this period, data is permanently deleted unless retention is required by law.

11. No Warranty

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or suitable for your specific needs.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the Singapore courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active subscribers via email at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance.
